Web Design Agreement & Terms of Service

General Scope of Services

1. For projects that the www4Network undertakes, the www4Network and/or its affiliates agree to provide Client with the web design services agreed upon with the Client, at the professional design and editing rates disclosed by the www4Network to the Client.

Payment for Services

2. The Client agrees to pay the www4Network and/or its affiliates for all web design services Client uses.

3. The Client agrees to pay the www4Network and/or its affiliates a deposit of 50% (or a minimum of $300.00) on all web design services anticipated.

4. The Client agrees to pay the www4Network and/or its affiliates for all web design services, including any balances due beyond the deposit amount, when invoiced, by the due date specified in the invoice(s).

5. The Client agrees that the www4Network and/or its affiliates may bill Client's credit card on file for any invoice(s) remaining unpaid after the specified due date(s).

6. The Client further agrees that the www4Network and/or its affiliates may suspend any and all service(s) associated with any invoice(s) remaining unpaid after the specified due date(s).

7. Title to and copyright in any and all web designs (including, but not limited to, all HTML source code, resulting web pages, and associated graphic images) that the www4Network and/or its affiliates create for the Client shall pass from the the www4Network and/or its affiliates to the Client only upon payment in full for all web design services used.

General Terms

8. The Client agrees to abide by all www4Network Acceptable Use Policies and User Agreements, and shall not use the www4Network and/or its affiliates' servers for illegal activities of any kind. If the www4network detects or suspects any Client activity which could be harmful to the www4Network or an other party, the www4nNtwork will inform the Client, and suspend or cancel Client's services.

9. The Client assumes full responsibility for providing the www4Network and/or its affiliates with any and all source material needed for the design of Client's website in appropriate format. Source material includes all text and graphic images that Client wishes to incorporate into Client's website. Appropriate format means that any and all source material will be supplied as electronic files (e.g. text files in text, document, or hypertext format; graphics in GIF, JPG/JPEG, TIFF format, etc.).

10. The www4Network agrees to support the Client's design requests to the best of its ability, but final determination of whether a specific request can be implemented rests with the www4Network.

11.The Client agrees that any proprietary materials or information the www4Network and/or its affiliates gives or releases to the Client will remain the property of the www4Network and/or its affiliates. Any confidential materials or information the www4Network and/or its affiliates gives or releases to the Client, will be kept confidential by the Client.

12. Both parties to this Agreement agree to hold any and all proprietary and confidential information in confidence, and not to disclose any such confidential information to any other party, nor to use any such confidential information except as provided for in this Agreement.

13. This Agreement grants nonexclusive rights to the parties involved. Nothing in this Agreement shall prohibit either party from entering into similar agreements with any other party.

14. Either party may immediately terminate this Web Design Agreement with written notice, howvever termination of this Agreement does not relieve Client of the obligation to pay for all web design services completed up to the time of termination.

15. This Agreement is governed by the laws of the State of Arizona. If any provision of this Agreement is held invalid, all other provisions shall be unaffected and continue in force.

16. The www4Network may assign this Agreement, its rights hereunder and its ownership of said service and commitment at any time with or without notice.

17. The Client's use of www4Network and/or its affiliates' web design services shall constitute Client's acceptance of this Web Design Agreement.

18. The www4Network may modify these terms and conditions with or without prior notice. Client's use of www4Network and/or its affiliates' web design services after modified terms and conditions have appeared online shall constitute Client's acceptance of any modifications to this Web Design Agreement.

19. This Web Design Agreement, along with the www4Network Acceptable Use Policies and the www4Network User Agreement & Terms of Service as addenda applying to the Client's use of the www4Network's servers, contain the entire agreement between the www4Network and the Client, and supersedes all prior or existing agreements.
